Licensing

Rentech offers worldwide licensing of the Rentech Process for both biomass and fossil feedstock applications. Licensing provides Rentech with the opportunity to expand the global deployment and acceptance of our technology without capital investment from Rentech. The successful commercialization of the Rentech Process will enhance our licensing opportunities, resulting in additional revenue streams.

Under a typical licensing arrangement, we expect to have the right to receive license fees and ongoing royalties for hydrocarbons produced by process plants that use the Rentech Process. We also expect to receive fees for providing our catalyst and technical services to licensees. After we grant a license, our licensees will be responsible for financing, constructing and operating their own facilities that will use the licensed technology. We generally would expect our licensees to acquire certain proprietary equipment that meets Rentech's specifications. Licensees must also acquire their own feedstock and sell the products that their facilities produce.

We are actively pursuing a number of licensing opportunities domestically and internationally including regions such as India, China, Australia and Europe.

We have a site licensing agreement with Medicine Bow Fuel & Power LLC (MBF&P) for a proposed synthetic fuels facility in Medicine Bow, Wyoming. MBF&P would use the Rentech Process and purchase catalyst developed by us for the plant. We will receive a combination of payments for license fees, catalyst sales, and other technical service support at various times throughout the term of the license. This site license agreement was issued under a Master License Agreement with DKRW Advanced Fuels LLC for the use of the Rentech Process in Fischer-Tropsch synthetic fuels facilities worldwide for production of up to 500,000 barrels per day.

ClearFuels Technology Inc. has signed an exclusive worldwide license with us for the use of our patented and proprietary Fischer-Tropsch synthetic fuels technology for the production of renewable drop-in fuels from sugarcane bagasse. ClearFuels has also signed a license with us for the use of the Rentech Fischer-Tropsch Process for the production of renewable synthetic fuels from virgin wood waste at up to twelve U.S.-based projects to be developed by ClearFuels.

ClearFuels has begun development of multiple commercial-scale biomass-to-energy projects in the southeastern United States, Hawaii and internationally. These projects will use an integrated ClearFuels-Rentech design pursuant to the licensing agreements and will be co-located at sugar mills and wood processing facilities. The U.S. wood waste projects alone are estimated to have an aggregate annual capacity of more than 100 million gallons of renewable synthetic fuels and 30 MW of renewable power.
